Who are you?
BeerBankroll.com has three founders all based in the Chicago, Illinois area. Our marketing guru is Matt (matt@beerbankroll.com) and his background is in sports marketing. Our PR guru is Julia (julia@beerbankroll.com) and she has a 10 year background in public relations. Our finance guru is James (james@beerbankroll.com) and he is an accountant in the Chicago area. Who can become a BeerBankroll member?
Anyone that is 21 years old or older can become a BeerBankroll member. We welcome anyone with great vision, superior creativity and the entrepreneurial spirit to become a part of our community managed brewing company.
How much do I have to pay to become a BeerBankroll member?
Your yearly membership will cost $50. That is less than $4.17 a month. Probably less than the amount you spend on beer at the ballpark. Definitely less than the amount you spend yearly on booze.
Will there be a limit on the number of members who can join?
We want all of our members to have a vested interest the company and we do not want to overextend ourselves. We do not want to dilute our member’s votes; instead, we want every member to feel important in the voting process. We also do not want bandwagon members coming in after success has already become apparent. Our goal is at least 50,000 members and after we reach that goal we are open to voting on putting a cap on the number of members.
Are there any benefits for members who have been members for more than one year?
Each year you are a member you will receive an extra vote and a new exclusive t-shirt from BeerBankroll.
What kind of tangible benefits will the members have?
BeerBankroll members will receive voting rights on ideas such as the company name, the company logo, product design, product mix, marketing plan, advertising and sponsorship among others. In addition, members will receive reward points based on the company’s profitability. These reward points can be used to purchase a myriad of items on our marketplace such as gift cards to popular retailers, memorabilia, company merchandise and much more. Besides these tangible benefits, BeerBankroll members will have the good feeling and comfort of knowing that they are helping to provide support to important charities across the world. The charities will also be voted on by the members.
How else can I earn reward points?
You can earn reward points for referring your friends to the website. For every friend that signs up for a BeerBankroll membership you will earn 100 reward points. Make sure your friends enter your BeerBankroll member number when they sign up, so you receive the reward points you deserve. In the future there will be more ways to receive reward points and members will be notified when they come up.
Who decides on what will or will not get voted on by the members?
BeerBankroll LLC reserves the right to choose what the members will vote on. We only do this because we do not want to vote on something every single day. We have to have some control over the process or else it would become complete anarchy. You can send us suggestions anytime via e-mail at info@beerbankroll.com and we will be more than willing to take them under consideration.
How will poll voting determine a course of action?
Once a poll is determined an e-mail will be sent to members to notify them. Members will be given a set amount of time to vote, which may range from two (2) days to a few weeks depending on the poll. If a member does not vote within the amount of time given they will forfeit their vote(s). Each poll will have a particular percentage to decide the winning choice. For example, one poll may just require the majority for a particular choice to win, but another may require 75% or 80% for a particular choice to win.
When will my membership expire?
Memberships will automatically expire if the annual membership fee is not paid. Members are under no obligation to participate in BeerBankroll for any specific length of time. The membership fee will not be prorated for members who participate for less than a twelve month period.
Is my membership fee refundable?
Membership fees are not refundable.
Will the members of BeerBankroll own the company?
Unfortunately, no. Due to prohibitive costs associated with SEC regulations and filings, BeerBankroll members will not have an ownership or equity stake in the company. However, BeerBankroll members will have a meaningful impact on the management, operation and development of the company.
Who will own the company, if not the members?
BeerBankroll LLC is a closely held private company.
Will members have any recourse against the governing body and management if the company is unprofitable or otherwise unsuccessful?
No. BeerBankroll members and management will form a partnership that will ultimately determine the success of the company.
Will members be liable for the company's finances or other obligations?
No. Members will never be held liable for any of BeerBankroll’s obligations, financial or otherwise.
Can members be held liable for decisions detrimental to the company?
No. However, we do not foresee this becoming a problem because the structure of BeerBankroll provides a meaningful incentive for members to make astute decisions that are in the best interests of the company.
Can the company be sold?
This is always a possibility, but it is not something our founders want to do. If it did become an issue we would have our members vote on the decision and our founders would take it under strong consideration. Although, the decision to sell the company ultimately lies in the hands of our founders we only will be bought out if the offer greatly benefits everyone involved including our members.
What will be done with all the membership money?
Money collected from membership fees will provide the capital necessary to launch and operate the company. If the company is profitable, this money will still be essential in funding business interests such as marketing, product development and other important actions needed to run the company.
What will the company do with its profits?
One-third of the company’s profits will be distributed to the company’s members in the form of reward points based on a 1 to 1 ratio of dollars to points. These reward points as stated above can be used for many different things. Another one-third of the company’s profits will be given to charities as voted on by the members. The remaining one-third of the company’s profits will be reinvested in the company.What if BeerBankroll LLC never ends up creating a community managed brewing company?If for some reason we are unable to get a brewing company started most likely due to lack of funding then we will take the remaining money after administration and operating costs and give it to charity.
